Introduction
These Terms of Service (“Terms”) are an agreement between you and Shiboo Voice (“Shiboo,” “we,” “us,” or “our”). They govern your use of the Shiboo Voice macOS application, the shiboo.ai website, account and billing features, and optional cloud transcription and refinement services (together, the “Services”).
By downloading, accessing, or using the Services, you agree to these Terms. If you use Shiboo for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
Eligibility and accounts
You must be at least 16 years old to use the Services. If the law where you live requires a greater age to enter into these Terms, you must meet that requirement or have a parent or legal guardian agree on your behalf.
Some features require an account. You agree to provide accurate information, keep your credentials secure, and promptly tell us if you suspect unauthorized access. You are responsible for activity performed through your account and connected devices, except to the extent caused by our failure to use reasonable security measures.
Using Shiboo Voice
Subject to these Terms, Shiboo gives you a limited, revocable, non-exclusive, non-transferable license to install and use the app for lawful personal or internal business purposes.
Shiboo is a dictation and writing tool for macOS. It can record audio while you hold a configured hotkey, transcribe your speech, clean up the result, and insert text into the app you are using. Local dictation is designed to run on your device. Cloud transcription, Secure Cloud refinement, and transforms are optional features that require network access and may require a paid plan and your express consent.
You are responsible for configuring your device, microphone, hotkeys, local models, target applications, and permissions. You must review text before relying on it or sending it to someone else.
Your voice and content
Audio, dictated text, saved transcripts, vocabulary, snippets, transform instructions, and other material you provide or create through Shiboo are “User Content.” You retain the rights you have in your User Content.
You give Shiboo a limited, non-exclusive license to process User Content only as reasonably necessary to provide, secure, and troubleshoot the Services. You represent that you have the rights and permissions needed to record, submit, process, and use your User Content, including when other people's voices or confidential information are involved.
Local dictation is processed on-device. When you choose cloud transcription, Shiboo sends audio over an encrypted connection and does not persist it in Shiboo-controlled storage. Saved transcripts stay in Shiboo's local app data on your Mac and can be deleted from History. Cloud providers may process content on our behalf to deliver a feature you request. Do not use Shiboo to record someone unlawfully or without any consent required where you live. You are responsible for deciding whether Shiboo is appropriate for confidential, personal, regulated, or proprietary information.
AI-assisted output
Some Services use machine-learning systems to transcribe, clean up, or transform text. These systems can produce incorrect, incomplete, misleading, or unsuitable results. Similar input may produce different results.
You are responsible for reviewing and editing generated text before relying on it. Shiboo is not a medical device, legal-grade documentation system, or substitute for professional advice. Do not rely on it as the sole basis for medical, legal, financial, employment, safety-critical, or other high-impact decisions.
Plans, trials, and billing
Shiboo may offer free and paid plans. The Free plan includes local features described on our website. Pro currently includes optional cloud features and a monthly cloud-refined word allowance. Current prices, limits, included features, and taxes are shown before purchase and may change prospectively.
Eligible users may receive a seven-day trial. A payment method may be required. Unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged at the price shown at checkout. Trial eligibility may be limited to prevent duplicate or abusive trials.
- Paid subscriptions renew automatically each month until canceled.
- You can manage or cancel your subscription through the billing portal. Cancellation takes effect at the end of the current paid period unless stated otherwise.
- Usage allowances reset on the schedule shown for your plan. Unused allowance does not roll over.
- Except where the law requires otherwise, charges are non-refundable. Full refunds or payment disputes may end access to paid cloud features.
Stripe processes subscription payments. Your payment information is handled under Stripe's terms and privacy practices.
Acceptable use
You may not use the Services to:
- Violate applicable law or another person's rights;
- Record, submit, or generate content you do not have the right to use;
- Facilitate fraud, harassment, abuse, impersonation, or deceptive conduct;
- Distribute malware or harmful code, except in authorized security work;
- Probe, attack, disrupt, or gain unauthorized access to the Services or another system;
- Bypass access controls, consent gates, quotas, rate limits, billing rules, or security measures;
- Place an unreasonable load on shared infrastructure or interfere with another user; or
- Resell or provide the Services to third parties unless we have agreed in writing.
You may not copy, modify, reverse engineer, or attempt to extract non-public source code or models from the Services, except where applicable law or an open-source license expressly allows it.
Third-party services
The Services rely on third parties, which may include Apple, Stripe, hosting providers, authentication services, and transcription or language-model providers. Your use of those services may be governed by their terms.
We do not control third-party services and are not responsible for their content, availability, security, pricing, output, or data practices. App-store and open-source components are governed by their applicable terms and licenses.
Availability and changes
We may add, change, suspend, or discontinue features, models, plans, integrations, or supported platforms. We aim to give reasonable notice when a change materially reduces a paid feature, but urgent security, legal, or reliability changes may take effect immediately.
Local features may continue without a network connection when compatible models are installed, but cloud features depend on your device, network, account status, usage allowance, and third-party infrastructure. We do not guarantee that the Services will always be available, uninterrupted, or compatible with every macOS version or application.
Ownership
Shiboo and its licensors own the Services, branding, designs, hosted infrastructure, documentation, and other materials, excluding User Content and third-party materials. These Terms do not transfer ownership of either party's intellectual property.
Portions of Shiboo may be provided under open-source licenses. Those licenses govern the applicable source code and take priority over these Terms if they conflict. You may not use Shiboo's trademarks, service marks, or trade dress without written permission.
Feedback
If you send us ideas, suggestions, or other feedback about Shiboo, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and commercialize that feedback without restriction or compensation. This does not transfer ownership of your User Content.
Suspension and termination
You may stop using the Services and cancel a paid subscription at any time. Removing the app does not automatically cancel a subscription.
We may suspend or terminate access to account-backed or cloud features if we reasonably believe you materially violated these Terms, created a security or legal risk, failed to pay applicable fees, exceeded authorized usage, or used the Services in a way that could harm other users or shared infrastructure. When practicable, we will provide notice and an opportunity to cure. We may act immediately when needed to prevent harm or comply with law.
Provisions that by their nature should survive termination, including ownership, disclaimers, liability limits, indemnification, and miscellaneous terms, will survive.
Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Services or generated text will be uninterrupted, secure, accurate, error-free, or suitable for your purpose. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
Limitation of liability
To the maximum extent permitted by law, Shiboo and its affiliates, officers, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from or related to the Services or these Terms.
To the maximum extent permitted by law, our aggregate liability for all claims arising from or relating to the Services or these Terms will not exceed the greater of $100 or the amount you paid directly to Shiboo for the Services during the 12 months before the event giving rise to the claim. These limits apply regardless of the legal theory and do not limit liability that cannot lawfully be limited.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Shiboo and its affiliates, officers, employees, and agents from third-party claims, damages, losses, and reasonable legal fees arising from your User Content, your use of the Services in violation of these Terms or law, or your infringement of another person's rights.
We will promptly notify you of a covered claim and reasonably cooperate in its defense. You may not settle a claim in a way that admits fault by or imposes obligations on us without our written consent.
Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms here and revise the date above. If a change materially affects your rights, we will provide additional notice when reasonably practicable or required by law. Changes apply prospectively from their effective date.
Your continued use of the Services after updated Terms take effect means you accept them. If you do not agree to an update, you must stop using the Services.
Miscellaneous
These Terms and any documents expressly incorporated into them are the entire agreement between you and Shiboo regarding the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect.
Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets. We are not liable for delay or failure caused by events beyond our reasonable control.
